Services Agreement

This Services Agreement ("Agreement") governs the provision of MCP connector services, data pipeline infrastructure, the Rebarly ChatGPT App, and related deliverables ("Services") by rebarly ("we", "us", "our") to the client ("you", "your").
1. Services
We design, deploy, and maintain MCP (Model Context Protocol) connectors, data pipelines, and hosted AI applications that enable AI-assisted querying of structured and unstructured data. Services may be delivered as software deployed on your infrastructure or as a hosted application we operate.
2. Data ownership & privacy
Your data remains your data. For enterprise MCP deployments on your infrastructure, we access the connector environment solely for deployment, maintenance, monitoring, and troubleshooting. The Rebarly ChatGPT App only queries IBC (International Building Code) and UFGS (Unified Facilities Guide Specifications) — no user data is ever processed. In all cases:
- No data is sold or shared with third parties.
- No data is used for model training.
- Operational access is limited to what is necessary to deliver and maintain the Services.
3. Deployment
Enterprise connectors are deployed in your environment — your cloud account, VPC, or on-premise infrastructure. We provide the configuration, deployment scripts, and ongoing maintenance. You retain administrative control over where the software runs. The Rebarly ChatGPT App runs on our infrastructure and is managed by us.
4. Security
We follow industry-standard security practices in the design, deployment, and operation of our services. Authentication, encryption, and access control are configured per your requirements for enterprise deployments. Our hosted services are monitored for security events and vulnerabilities.
5. Support & maintenance
We provide support including troubleshooting, updates, and feature enhancements as agreed in the statement of work. For our hosted ChatGPT app, we monitor and maintain the service continuously to ensure availability and performance.
6. Limitation of liability
Our connectors and apps interface your data with third-party AI models. We do not control the output, accuracy, or availability of those models. To the fullest extent permitted by law, our liability for claims arising from the Services is limited to the fees paid for the Services giving rise to the claim.
7. Termination
Either party may terminate this Agreement with 30 days' written notice. Upon termination, we will remove all deployed software from your environment, decommission hosted app instances, and provide a transition period for data continuity.
8. Governing law
This Agreement is governed by the laws of Italy. Any disputes shall be resolved through amicable negotiation before recourse to courts.
